1. Introduction

Welcome to Picudia. We are delighted that you have chosen our platform. Picudia offers a simple and secure way to collect and share photos and videos in events. Picudia Public Space lets you capture memories with others in a temporary shared cloud, while Picudia Private Space lets you keep favourite moments privately and permanently. Picudia is operated by Trick22 GmbH. Please read these terms carefully, as they form the basis for using our services.

2. General provisions

These terms and conditions of business and use (“Terms”) govern the rights and duties between Trick22 GmbH and everyone who visits our website or uses our services. By using the platform, you accept these Terms on your own behalf or as the representative of a company.

You must be at least 18 years old to use our services or, if you are between 16 and 18, have the consent of a parent or legal guardian. You also agree to use the platform only in accordance with applicable laws and regulations.

3. Definitions

• Platform: The system, including the app, website and cloud, that provides and manages the services. All servers are provided by Hetzner in Germany.
• Services: All Picudia features described in Section 5.
• Trick22: Trick22 GmbH, Blauenstraße 11a, 79410 Badenweiler, Germany, registered with the Freiburg commercial register under HRB 730777.
• User: Any person who creates an account or uses the services as a guest.
• Content: Photos and videos created and uploaded by users.
• Event: A time-limited area in Picudia Public Space in which content can be shared.
• Event creator: The user who creates and manages an event.
• Picudia Public Space: A free, temporary cloud in which content can be shared and used together.
• Picudia Private Space: A private cloud for storing content permanently.

4. Agreement

4.1. By accessing and using Picudia’s services, you accept these Terms. They form the basis of a contractual relationship between you and Trick22 GmbH. If you do not accept them, you must not use the services.

4.2. Additional terms: Certain services may be subject to additional terms presented to you in connection with those services. They form part of these Terms and take precedence if they conflict with them.

4.3. Changes to the Terms: We may update these Terms to reflect legal or functional changes. You will be informed in advance and given the opportunity to accept them. If you do not agree to the amended terms, you may stop using the services.

4.4. Privacy: We collect and use personal data in accordance with our privacy policy at www.picudia.com/en/privacy.

4.5. Payments: Payments are made solely through the Apple and Google app stores. Trick22 does not process those payments.

5. Services

5.1. Trick22 GmbH provides the following services through the Picudia platform:

• Use of the Picudia smartphone app and the web app through the website;
• Creating or joining time-limited events in Picudia Public Space to use an album together;
• Inviting other users to events;
• Creating, uploading and sharing content, and downloading content from events;
• Moving favourite content to Picudia Private Space for permanent safekeeping;
• Feedback and support through the app or by email at [email protected].

5.2. Personal use: The services are intended solely for personal, non-commercial use.

5.3. Communication: You agree to receive service-related emails such as sign-in messages, receipts and important updates. You may unsubscribe from newsletters at any time, but not from transactional emails.

6. Registration and accounts

6.1. Creating an account

To use the services, you must register an account or sign in through a third-party provider such as Google, Apple or Facebook. You must be at least 18 to create an account. If you are between 16 and 18, you need consent from a parent or legal guardian. Ensure that the information you provide is correct and current.

6.2. Security

You are responsible for all activity in your account. Protect your access details and notify us immediately of unauthorised access at [email protected].

6.3. Termination

We may suspend or terminate your account if you breach these Terms or applicable law.

7. Payments and fees

7.1. Pricing

Certain Picudia features may be subject to a fee. All prices are stated in euros (€) and include applicable VAT. Payment is made solely through the Apple and Google app stores.

7.2. Refunds

Refunds are available only in exceptional cases. Contact [email protected] for assistance.

7.3. Right of withdrawal

You have the right to withdraw from the agreement within 14 days without giving a reason. The period begins when the agreement is concluded. To exercise this right, contact:

8. Licence and intellectual property

8.1. Licence

We grant you a non-exclusive, non-transferable and revocable licence to use our services in accordance with these Terms. This licence permits only private use of the app and web app.

8.2. Intellectual property

All content, trademarks, logos, software and other materials on the platform belong to Trick22 GmbH or our licensors and are protected by copyright law. You may not copy, reproduce or use them commercially without our express consent.

9. User content

9.1. Your content

You retain full ownership of all content you upload to the platform. By sharing content in an event, you nevertheless agree that other participants may view and use it within the scope of that event.

9.2. Licence for event use

By uploading content to an event, you grant its other participants and creator a non-exclusive, non-transferable, worldwide and royalty-free licence to use that content non-commercially and solely within the event. This licence includes:

1. Viewing: Participants may view content on the platform.
2. Sharing: Content may be shared within the event.
3. Highlights video: Content may be included in an automatically created highlights video and edited by other participants within the platform.

9.3. Personal use by participants

Event participants may use the automatically created highlights video or edited versions for personal, non-commercial purposes. This includes:

• Showing the video to family or a private circle of friends;
• Sharing it on personal social-media channels such as Facebook or Instagram, provided it does not contain material that infringes another participant’s rights, including privacy rights.

9.4. Publication and the rights of other participants

If a participant wants to publish content involving other people, such as a highlights video on social media, the following applies:

1. Respect for rights:
   • Participants must ensure that sharing does not infringe another person’s rights, including privacy or copyright.
   • If another participant expressly objects to publication, the relevant video or content should be removed or adjusted.
2. Non-commercial use:
   • Event content may be used only for personal purposes. Any commercial use, including advertising, is prohibited.

9.5. Private events

All Picudia events are private. Content and interactions within an event are visible only to invited participants. Participants publish content outside the platform at their own responsibility and must respect the rights of other participants.

9.6. Responsibility for content

You warrant that you own all rights to uploaded content or have the rights holders’ consent. You must not upload content that:

• Infringes copyright or other third-party rights;
• Violates laws or regulations; or
• Is obscene, offensive or discriminatory.

9.7. Control and moderation

Trick22 does not actively monitor user content. We nevertheless reserve the right to remove content or block access where it breaches these Terms or applicable law.

10. Code of conduct

10.1. Respect and safety

We want Picudia to be safe and respectful. You therefore agree:

• Not to share content that is obscene, offensive, discriminatory or otherwise inappropriate;
• Not to harass, threaten or insult other users.

10.2. Prohibited activities

You must not:

• Distribute spam or malware;
• Infringe copyright or other third-party rights.

10.3. Reporting breaches

If you notice suspicious or inappropriate activity, report it to [email protected]. We take reports seriously and act quickly.

11. Restrictions

You may not:

• Copy, alter or sell content or features from our services without permission;
• Manipulate, hack or gain unauthorised access to our services;
• Use programs or scripts that may disrupt the app.

12. Disclaimers and limitations of liability

12.1. Disclaimer

Our services are provided “as is”. We do not guarantee error-free or uninterrupted availability at all times.

12.2. Limitation of liability

We are not liable for indirect damage, loss of data or lost profits unless caused by gross negligence or intent. Your statutory rights, including claims involving injury to life, limb or health, remain unaffected.

13. Privacy

We take data protection seriously. Information about the data we collect and use is available in our privacy policy.

14. User feedback

14.1. Feedback is welcome

We welcome your feedback about Picudia. Your ideas help us improve the platform.

14.2. Use of feedback

By submitting feedback, you permit us to use your suggestions without owing compensation. Your privacy will always be respected.

15. Indemnity

You agree to indemnify Trick22 against claims and damage arising from your use of the services or a breach of these Terms.

16. Severability

If any provision of these Terms is ineffective, the remaining provisions continue to apply.

17. Governing law and jurisdiction

These Terms are governed by German law. Disputes will be heard by the competent courts at the registered office of Trick22 GmbH.
